If you are a domestic or foreign limited partnership and recently received a postcard from the PA Department of State (DOS) indicating a need to file a Certificate of Annual Registration (CAR) and pay a fee by April 15, 2023, the PA DOS has indicated you may have received this postcard in error. There is no annual CAR filing for limited partnerships that do not have limited liability status. According to the notice which was posted on March 9, 2023:

“A recent postcard mailing from the Department of State’s Bureau of Corporations and Charitable Organizations (Bureau) that was intended to notify all domestic and foreign Limited Liability Limited Partnerships (LLLPs) of the obligation to file a CAR was also inadvertently sent to domestic and foreign limited partnerships (LPs) that have not registered for limited liability status.

Only limited partnerships that have registered for limited liability status pursuant to 15 Pa.C.S. § 8201 are required to file CARs. Limited partnerships that do not have limited liability status are not required to file a CAR and should ignore the postcard.
